Introduction

These Terms & Conditions ("Agreement") govern the use of Aitotexia's AI automation, AI receptionist, and related digital services ("Services"). By using our Services, the client ("Client") agrees to these terms.

Access & Use of Services

2.1 License

Aitotexia grants Client a non-exclusive, non-transferable license to access and use the Services for internal business use only.

2.2 Restrictions

Client may not:

  • Resell, sublicense, or white-label the Services without written approval
  • Reverse engineer, copy, or modify Aitotexia's software or models
  • Use the system for spam, fraud, or illegal communications
  • Use the Service without proper legal consent (TCPA/GDPR)
  • Create competing systems using Aitotexia's platform, code, or content
2.3 Client Data
  • Client owns all input data
  • AI-generated outputs may be used to improve Aitotexia's models unless otherwise agreed
  • Client is responsible for ensuring data accuracy

Responsibilities

3.1 Client Responsibilities

Client must:

  • Provide accurate business information
  • Maintain secure login credentials
  • Ensure all contacts have legal consent for calls/SMS/email
  • Use the Services in a lawful and ethical manner
3.2 Aitotexia Responsibilities

Aitotexia will:

  • Maintain secure infrastructure
  • Provide platform updates and improvements
  • Offer support via support@aitotexia.com

Payments & Billing

4.1 Subscription Plan

Client agrees to a monthly subscription fee for their selected plan. Billing renews automatically.

4.2 No Refunds

All payments are non-refundable, including partial months.

4.3 Late Payments

Aitotexia may suspend or restrict access if payment fails.

Termination

5.1 Client Termination

Client may cancel anytime with 14 days written notice sent to: support@aitotexia.com

5.2 Aitotexia Termination

Aitotexia may suspend or terminate access immediately if:

  • The Client violates this Agreement
  • Services are used for illegal or harmful activities
  • Payment is not received
5.3 After Termination
  • Client remains responsible for all charges prior to termination
  • Client may request a data export within 30 days

Ownership & Intellectual Property

Aitotexia owns:
  • All platform code, automation logic, and AI models
  • Branding, UI/UX, and trademarks
  • Any improvements or suggestions provided by Client
Client owns:
  • Their input data
  • Business-specific automation workflows created inside their account

Confidentiality

Both parties must keep confidential information private for 3 years, including:

  • Business processes
  • Scripts
  • Prototypes
  • Pricing
  • Account access credentials
  • Training data

Security & Compliance

Aitotexia maintains:

  • GDPR-aligned data handling
  • Encrypted communication
  • Secure partners for AI, SMS, and automation

Client must comply with all relevant laws when using SMS, call automation, WhatsApp, and email services.

Third-Party Integrations

Aitotexia integrates with external providers such as:

  • Retell AI
  • MessageBird
  • Twilio
  • Make.com
  • GoHighLevel
  • SMS and telecom APIs

Client understands:

  • These platforms may process limited personal data
  • Availability depends on the third-party provider
  • Aitotexia is not liable for outages or failures caused by outside systems

Service Availability

Aitotexia will make reasonable efforts to maintain uptime, but availability may be affected by:

  • Telecom carrier restrictions
  • AI model outages
  • Third-party API limits
  • Internet or server interruptions

No guaranteed uptime is offered unless stated in a separate SLA.

Liability Limitations

Aitotexia is not liable for:

  • Lost profits or business opportunities
  • Business disruptions
  • Acts or failures of telecom providers or third-party integrations
  • Damages exceeding the total subscription fees paid in the last 3 months

Dispute Resolution

12.1 Governing Law

This Agreement is governed by Icelandic law.

12.2 Arbitration

If a dispute arises:

  • Parties attempt informal resolution first
  • If unresolved, the dispute will be handled through online arbitration in Reykjavík
  • Decisions are final and legally binding

Force Majeure

Aitotexia is not responsible for delays or failures caused by events outside its control, including natural disasters, internet outages, telecom issues, or war.

Modifications

Aitotexia may update these Terms at any time. Continued use of the Services means the Client accepts the updated terms.

15

Acceptance

By using Aitotexia's Services, the Client acknowledges and agrees to this Agreement.
